If you are under the age of eighteen (18) you MUST get the permission of your parent or legal guardian before participating and submitting your video embodying your musical performance (“Video”) of the musical composition (“Composition”) entitled “Trust In Love” embodied on the sound recording master thereof (“Master”).  If you are under eighteen (18), by submitting your Video, you acknowledge and agree that you have received permission of a parent or legal guardian to submit such Recording.

By submitting your Video, you agree that the decisions of Steel Heart Records, LLC (“Steelheart”) to use or not to use your Video shall be at Steelheart’s sole discretion.  Also, by submitting your Video, you agree to execute any and all paperwork requested by the Steelheart which may include, but is not limited to, any release forms, prior to the release of the Master.  Your Video shall become the sole property of Steelheart, which may exploit your Video in any manner, in any media, throughout the universe, in perpetuity.  You may be required to sign and return an affidavit of release and indemnification within a time period specified by Steelheart after notification to you.  By submitting your Video, you agree to release, defend, indemnify, and hold harmless the Steelheart, and its parent, subsidiaries, affiliated companies, licensees, designees, and assignees and each of their respective officers, directors, agents, representatives and employees from, including, but not limited to, any and all actions, complaints, claims, injuries, liabilities, fees (including reasonable attorneys’ fees), royalties, costs, losses, or damages arising in any manner, directly or indirectly, by whomever or wherever asserted, from your submission of your Video.

You represent and warrant that in connection with the Video: (i) all materials (“Materials”) submitted by you are original to you (and are not based on or derivatives of any other materials), that you own all the necessary rights in and to the Materials (with the exception of the rights to the Master and the Composition embodied thereon, which are the sole property of Steelheart) which are fully transferable, and that you are not subject to any musical recording agreement, music production agreement, guild or union agreement, or any other similar agreement which would hamper and interfere with the submission of your Video, your ability to enter into this agreement or grant all of the rights required herein; and (ii) you have the right to enter into this agreement and grant the rights hereunder without the need for permission from or payment to any other party and the exercise of the rights set forth herein shall not violate any third party rights and will not violate any contractual obligations or confidential relationships which you may have to or with any third party.

By submitting your Video, where allowed by law, you grant Steelheart, its parents, subsidiaries, licensees, and affiliated companies, licensees, designees, and assignees, and each of their respective officers, directors, agents, servants, representatives, shareholders and employees, as well as each of their respective successors, representatives and assignees the exclusive permission and right to use and distribute your name, characters, photographs, voices, likenesses, and biographical information in any and all manner, methods, formats and media now known or hereafter created (including, without limitation, all forms of television, radio, Internet, cable, satellite, wireless applications, home video products and devices, etc.) in connection with promotion of the Video and/or Master in all advertising and promotion of the foregoing, throughout the universe and in perpetuity; and waive any claims to royalty, right, or remuneration for such foregoing uses.  By submitting your Video, where allowed by law, you agree that Steelheart may disclose personal information obtained from you to third parties and use such information for marketing and other purposes.
